These Terms of Service (“Terms”) govern access to and use of the WADZO platform and related services operated by Xyteria LLC (“WADZO”, “we”, “our”, or “us”).
By accessing or using WADZO, you agree to be bound by these Terms. If you do not agree to these Terms, do not access or use the platform.
1. Services
WADZO provides scheduling, communication, customer management, workflow management, notification, and business operations tools.
We may modify, enhance, suspend, or discontinue any portion of the platform at any time without prior notice.
2. Accounts
Users are responsible for:
- Maintaining the security of their accounts
- Protecting usernames and passwords
- Providing accurate information
- Updating account information when necessary
Users are responsible for all activity occurring under their accounts.
3. Acceptable Use
Users may not:
- Violate any applicable law or regulation
- Send unsolicited or unlawful communications
- Transmit spam or deceptive messages
- Interfere with platform operations
- Attempt unauthorized access to systems or accounts
- Upload malicious software or harmful code
- Circumvent security controls
- Abuse messaging functionality
- Use the platform for fraudulent or unlawful activities
4. SMS and Messaging
WADZO may facilitate SMS and MMS communications including:
- Appointment confirmations
- Appointment reminders
- Scheduling updates
- Customer support communications
- Account notifications
- Service-related messages
Organizations and users utilizing WADZO messaging functionality are responsible for obtaining all legally required consent before sending messages through the platform.
Message frequency varies based on user activity and service usage.
Message and data rates may apply.
Recipients may opt out at any time by replying STOP.
Recipients may request assistance by replying HELP.
All messaging activity must comply with applicable laws, carrier requirements, industry standards, and messaging regulations.
5. Communications Consent
By providing a phone number through a WADZO-powered scheduling form, appointment booking process, demo request form, customer support interaction, or other service interaction, users consent to receive transactional communications related to requested services.
Such communications may include:
- Appointment confirmations
- Appointment reminders
- Scheduling updates
- Customer support communications
- Account notifications
- Service-related messages
Consent to receive transactional communications is not a condition of purchase.
6. Fees and Billing
Certain services may require payment.
Pricing, subscription fees, billing terms, and payment obligations may be presented separately and are incorporated into these Terms by reference.
Failure to pay applicable fees may result in suspension or termination of services.
7. Intellectual Property
WADZO, its software, designs, content, trademarks, branding, technology, documentation, and related materials remain the exclusive property of Xyteria LLC or its licensors.
No ownership rights are transferred to users.
Users receive only the limited rights necessary to access and use the services in accordance with these Terms.
8. Third-Party Services
WADZO may integrate with third-party providers including:
- Messaging providers
- Email providers
- Payment processors
- Calendar providers
- CRM platforms
- Analytics providers
- Cloud hosting providers
We are not responsible for the availability, performance, security, or practices of third-party services.
9. Disclaimer of Warranties
Services are provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, WADZO disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We do not guarantee uninterrupted, error-free, or completely secure operation of the platform.
10. Limitation of Liability
To the maximum extent permitted by law, Xyteria LLC, its affiliates, officers, employees, contractors, and licensors shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or related to use of the platform.
In no event shall our aggregate liability exceed the amount paid by the user to WADZO during the twelve (12) months preceding the event giving rise to the claim.
11. Indemnification
Users agree to indemnify and hold harmless Xyteria LLC, its affiliates, officers, employees, contractors, and agents from any claims, damages, liabilities, losses, costs, or expenses arising from:
- Violation of these Terms
- Violation of applicable laws
- Misuse of the platform
- Unauthorized messaging activity
- Infringement of third-party rights
12. Suspension and Termination
We may suspend, restrict, or terminate access to the platform at any time for:
- Violations of these Terms
- Security concerns
- Fraudulent activity
- Legal or regulatory requirements
- Operational reasons
Termination does not relieve users of obligations incurred before termination.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict-of-law principles.
14. Changes to These Terms
We may update these Terms from time to time.
Updated versions will be posted on this page with a revised effective date.
Continued use of WADZO after changes become effective constitutes acceptance of the revised Terms.
